(16) The Partner will indemnify the Company against acts of omission or misrepresentation, oral, written, or otherwise with respect to the Partner's business activities.     (17) This Agreement contains the full and complete contract between both parties, with no other warranty, guarantee or representation, written or oral. Neither party may bind the other party to any agreement or obligation without the express written permission of the other party.
    (18) Both parties agree to protect and insure the rights of the other party to this Agreement, and to act and perform in the spirit, essence, and good intentions so implied.
    (19) The Company hereby acknowledges receipt of $570 (2 months in advance at $285 per month) payable by the Partner, to the company, with such monthly Partner fee to be used to defray the expenses of administration and management of the Partner program.  This contingency fee of $285.00 is due and payable on the ____ day of each month, and can be cancelled by the partner at any time without cause.
